These Terms govern your access to and use of Fadaka Technologies LTD websites, products, and services.

Important: By accessing or using our Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1) About Fadaka

Fadaka Technologies LTD (“Fadaka,” “we,” “our,” or “us”) provides IoT, drone, cybersecurity, and electronic-surveillance solutions for homes, businesses, and public-sector clients.

2) Eligibility & Accounts

  • You must be at least 18 years old (or age of majority in your jurisdiction) to use the Services or place orders.
  • You are responsible for keeping your credentials confidential and for all activities under your account. Notify us of any unauthorized use.

3) Orders, Pricing & Payment

  • Placing an order is an offer to buy. We may accept or reject any order (e.g., stock, coverage, pricing errors, compliance checks).
  • Prices are in Nigerian Naira (₦) unless stated otherwise and may change before acceptance.
  • Taxes, duties, shipping, installation, training, or regulatory fees (if applicable) are your responsibility.
  • By submitting a payment method, you confirm authorization and permit us/our processors to charge the total amount.

4) Shipping, Delivery & Risk of Loss

  • Delivery timelines are estimates. Title and risk of loss pass upon delivery to your address (or to your designated carrier).
  • Inspect items at delivery and report shortages or visible damage within 48 hours; hidden damage within 7 days.

5) Installation, Configuration & On-Site Services

  • Some solutions require professional installation/site surveys. We’ll provide a Statement of Work (SOW) defining scope and prerequisites.
  • You are responsible for all permissions, permits, consents, and flight authorizations. Our assistance does not transfer responsibility.

6) Software; Licenses; Updates

  • We grant a non-exclusive, non-transferable, revocable license to use our software with authorized Fadaka devices/services.
  • No reverse engineering, copying, resale, or misuse except where permitted by law.
  • Security/performance updates may be required and can install automatically.

7) AI & Analytics Features

Note AI outputs are probabilistic and may be inaccurate. These features are advisory only and must not be the sole basis for security, safety, law-enforcement, or life-critical decisions.

  • Configure thresholds, recipients, and escalation paths appropriate to your risk profile.

8) Compliance & Lawful Use

  • Use the Services lawfully and comply with applicable Nigerian/international laws (e.g., NCAA for drones, NDPR for data protection, surveillance and recording laws, export controls).
  • Prohibited uses: unlawful surveillance, stalking, IP infringement, unauthorized security testing, use in embargoed contexts, human-rights violations, corruption.

9) Customer Data & Privacy

  • See our Privacy Policy for how we collect, use, and safeguard personal data.
  • You own the data you upload or generate. You grant Fadaka a limited license to process it to provide, secure, improve, and support the Services.

10) Third-Party Services & Integrations

The Services may interoperate with third-party software/cloud/hardware (e.g., connectivity, mapping, identity, email/SMS gateways). Your use of them is governed by their terms; we are not responsible for their actions or availability.

11) Warranties; Disclaimers

  • Hardware: Unless otherwise stated, new hardware is warranted against defects for 12 months from delivery (excludes misuse, accidents, unauthorized mods, improper install, environmental damage, normal wear, consumables).
  • Services/Software: Provided on an “AS IS” and “AS AVAILABLE” basis without warranties of uninterrupted or error-free operation; we disclaim implied warranties to the maximum extent permitted by law.
  • Remedies: For valid hardware claims: repair, replacement, or refund (at our option). For service issues, we’ll take reasonable steps to restore service.

12) Returns & Refunds

Returns/refunds (if available) are governed by our Refund Policy. Custom orders, software licenses, services already rendered, or installed/activated devices may be non-refundable.

13) Intellectual Property

All IP in the Services (software, firmware, websites, designs, docs, trademarks inc. FADAKA names/logos) belongs to Fadaka or its licensors. No rights are granted except as stated. Do not use our trademarks without prior written consent.

14) Feedback

If you submit ideas or suggestions, you grant Fadaka a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate them without obligation.

15) Indemnity

You agree to defend, indemnify, and hold harmless Fadaka and its personnel from claims/losses arising from (a) your use or misuse of the Services; (b) violation of these Terms; (c) legal breaches (aviation, privacy, surveillance); or (d) disputes related to your data, equipment, or sites.

16) Limitation of Liability

  • We are not liable for indirect/special/punitive/consequential damages; lost profits/data; or third-party service failures.
  • Our aggregate liability is capped at the amounts you paid to Fadaka for the specific product/service in the previous 12 months.

17) Suspension & Termination

We may suspend/terminate access without notice for breaches, security risks, or unlawful use. You may stop using the Services at any time. Certain provisions (IP, indemnity, liability limits) survive termination.

18) Changes to Services or Terms

We may modify the Services or these Terms at any time. Changes take effect when posted (or on the stated effective date). Continued use means acceptance.

19) Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria.
  • If amicable settlement fails within 30 days, disputes go to arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023, in English, before a single arbitrator. The award is final and binding.
  • Courts in Ogun State, Nigeria have non-exclusive jurisdiction for interim/enforcement relief.

20) Force Majeure

We are not liable for delays/failures due to events beyond our control (acts of God, outages, government actions, strikes, supply-chain issues, pandemics, disasters).

21) Miscellaneous

  • These Terms are the entire agreement and supersede prior understandings.
  • If any provision is invalid, the rest remains effective.
  • You may not assign without our consent; we may assign in connection with merger/acquisition/sale of assets.
  • No waiver of one breach is a waiver of another.

Industry-specific Notices

  • Drone operations: Client is responsible for flight plans, site safety, and all Nigerian Civil Aviation Authority (NCAA) authorizations. Weather/airspace/safety may require rescheduling.
  • Surveillance & recording: Client must notify individuals and obtain legally required consents. Client controls footage retention and disclosure requests.
  • Cybersecurity services: Testing or monitoring of third-party systems requires written authorization from the owner. Pen-testing/red-team is delivered strictly under agreed scope/rules.
